1. The Service
Uploft helps teams convert email designs into exportable HTML and images, create and manage clickable hotspots, and connect to third-party platforms such as Figma, Mailchimp, and Klaviyo. The Service includes web and API features for account management, organization workspaces, artwork creation, exports, and analytics.
2. Eligibility and Accounts
You must be able to form a binding contract to use the Service. You are responsible for all activity under your account. You must provide accurate information and keep your account secure.
3. Organization Workspaces and Roles
The Service supports organizations and membership roles (owner, admin, user). Owners and admins control organization settings, integrations, and access. You agree to use the Service only within the permissions granted to you.
4. Your Content and Permissions
You retain ownership of the content you upload or connect, including design files, images, and export outputs. You grant Uploft a limited license to store, process, and transmit this content solely to provide the Service, including generating exports, rendering previews, and enabling integrations.
You are responsible for ensuring you have the rights to use any files, images, or third-party content you submit to the Service.
5. Acceptable Use
You agree not to:
Use the Service for unlawful, infringing, or abusive purposes.
Attempt to access or disrupt systems, data, or accounts you do not own.
Reverse engineer or copy the Service except as allowed by applicable law.
Use the Service to build a competing product or service.
6. Integrations and Third-Party Services
If you connect third-party services (including Figma, Mailchimp, and Klaviyo), you authorize Uploft to store tokens and perform actions on your behalf to provide the integration. Your use of third-party services is governed by their terms and privacy policies.
7. Usage Points and Limits
Some features may use internal usage points or similar limits shown in the Service (for example, generating exports). You are responsible for managing your organization's usage within the limits displayed in the app.
8. Hotspot Tracking and Analytics
The Service can record click events for exported hotspots to provide analytics. If you enable or use hotspot tracking, you are responsible for complying with applicable privacy and marketing laws and for providing required notices to your end users.
9. Suspension and Termination
We may suspend or terminate access if you violate these Terms, if your account is inactive, or if required by law. You may stop using the Service at any time.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted or error-free operation.
11. Limitation of Liability
To the maximum extent permitted by law, Uploft will not be liable for indirect, incidental, special, or consequential damages arising from your use of the Service.
12. Governing Law
These Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
